-
"The Customer", "You", "Your": Refers to the person, corporate entity, or representative engaging The Company for services.
-
"Services": Refers to any inspection, maintenance, repair, overhaul, or modification performed on an aircraft or component by The Company.
-
"Aircraft": Refers to the airframe, engine, propeller, components, and associated logbooks delivered to The Company for Services.
Scope of Work and Approvals
-
All Services will be carried out in accordance with current Civil Aviation Authority (CAA) [and/or EASA, if applicable] regulations and approved maintenance schedules.
-
The Company reserves the right to refuse to carry out any work that, in its professional opinion, compromises aviation safety or violates regulatory standards.
-
Any estimated completion dates provided are given in good faith but are not guaranteed. The Company is not liable for delays caused by parts availability, hidden defects discovered during inspection, or awaiting customer approvals.
Quotations and Additional Work
-
Estimates and quotations are valid for 30 days from the date of issue unless otherwise stated.
-
Quotations are based on the visual condition of the Aircraft at the time of assessment. If additional, unforeseen work or parts are required to ensure the Aircraft meets airworthiness standards, We will pause work and notify You.
-
No additional chargeable work will be undertaken without Your prior authorisation (verbal or written). If You decline necessary airworthiness repairs, The Company may be legally obligated to withhold the Certificate of Release to Service (CRS).
Pricing and Payment Terms
-
All prices are subject to Value Added Tax (VAT) at the prevailing UK rate, unless an exemption applies and is proven by The Customer.
-
Payment in full is strictly due upon presentation of the invoice, prior to the collection or release of the Aircraft, unless an active credit account has been agreed upon in writing.
-
Late payments will incur interest at a rate of 8% above the Bank of England base rate per annum, calculated daily, in accordance with the Late Payment of Commercial Debts (Interest) Act 1998.
Right of Lien
The Company asserts a general and particular Right of Lien over the Aircraft, its logbooks, and any components left in Our possession. We reserve the right to retain physical possession of the Aircraft and its documentation until all outstanding invoices, including storage fees and late payment interest, have been paid in full.
Customer Responsibilities
-
Documentation: The Customer must provide all relevant current logbooks, maintenance manuals, and service records prior to the commencement of work.
-
Delivery and Collection: The Customer is responsible for delivering the Aircraft to our facility at Popham Airfield and collecting it upon completion. The Company may charge a daily hangarage/parking fee if the Aircraft is not collected within 7 days of project completion and notification.
-
Fuel: The Aircraft should be delivered with only sufficient fuel necessary for safe flight, unless defueling is required for the requested maintenance (defueling may incur an additional charge).
Warranties and Liability
-
The Company warrants that all Services will be performed with reasonable care and skill, and parts supplied will be free from defects in accordance with the manufacturer's warranty.
-
Our warranty on labour is valid for 6 months or 50 flying hours, whichever comes first, from the date of the Certificate of Release to Service (CRS).
-
Limitation of Liability: To the maximum extent permitted by law, The Company’s total liability for any claim arising from the Services shall not exceed the total value of the invoice for the specific work in question.
-
Consequential Loss: The Company shall under no circumstances be liable for any indirect, incidental, or consequential losses, including but not limited to: loss of charter revenue, loss of use of the Aircraft, pilot fees, or alternative transportation costs.
Insurance
While the Aircraft is in Our care, custody, and control, The Company maintains adequate hangar keepers' liability insurance. However, The Customer must maintain their own hull and liability insurance for the Aircraft at all times.
Force Majeure
The Company shall not be held liable for any failure or delay in performing Our obligations where such failure or delay results from causes outside Our reasonable control. These include, but are not limited to: strikes, supply chain failures, extreme weather events, acts of God, or changes in CAA regulations.
Governing Law and Jurisdiction
These Terms and Conditions, and any dispute or claim arising out of or in connection with them, shall be governed by and construed in accordance with the laws of England and Wales. The courts of England and Wales shall have exclusive jurisdiction to settle any dispute.
